ReadPals is owned and operated by Relay HQ LLC. These Terms govern the ReadPals mobile application, web application, public website, and related services, collectively called the “Service.”

1. Agreement and eligibility

By creating an account or using the Service, you agree to these Terms and acknowledge our Privacy Policy.

You must be at least 18 years old and located in the United States to create or manage a ReadPals account. If you do not agree to these Terms, do not create an account or use the Service.

2. Accounts and reader profiles

Accounts must be created and managed by adults. You must provide accurate account information and keep access to your account, email, and devices secure.

The manager of the account is responsible for its reader profiles and activity.

You may create a reader profile only if you are that child’s parent or legal guardian and are authorized to provide the required consent. Before creating a reader profile, you must review the applicable notice and affirmatively authorize ReadPals to process information for that reader.

3. Educational purpose

ReadPals is an educational tool intended to support reading instruction and practice. It is not a substitute for a teacher, educational specialist, medical professional, or formal assessment.

ReadPals may personalize lessons and provide automated feedback, but we do not guarantee any particular educational result, reading level, or rate of progress.

The manager of the account is responsible for supervising children’s use of connected devices and deciding whether ReadPals is appropriate for each reader.

4. Permission to use ReadPals

Subject to these Terms, Relay HQ LLC grants you a limited, personal, non-exclusive, non-transferable, revocable license to use ReadPals for your household’s personal, non-commercial educational use.

This license does not transfer ownership of ReadPals or any of its content to you.

5. Acceptable use

You may not:

• Use ReadPals for unlawful, fraudulent, harmful, or commercial purposes.
• Interfere with or disrupt the Service.
• Attempt to bypass security, account, consent, payment, or access controls.
• Access another person’s account or non-public systems without authorization.
• Introduce malware or harmful code.
• Scrape, harvest, or automatically extract content or data.
• Reverse engineer or attempt to discover ReadPals source code, except where applicable law expressly permits it.
• Copy, sell, sublicense, redistribute, or create unauthorized derivative products from ReadPals.
• Use ReadPals content or data to train or evaluate another artificial-intelligence system without our written permission.
• Infringe another person’s privacy, intellectual-property, or other legal rights.

6. Information submitted through ReadPals

ReadPals may process information intentionally submitted through supported features, including spoken responses, support requests, and feedback.

You retain any rights you hold in information you submit. You give Relay HQ LLC permission to host, process, transmit, and use that information only as reasonably necessary to provide, protect, support, and improve ReadPals as described in our Privacy Policy.

You must not submit information or materials that you do not have authority to provide.

7. Feedback

If you provide ideas, suggestions, or other product feedback, you permit Relay HQ LLC to use that feedback without restriction or compensation.

This does not change how personal information included with feedback is handled under our Privacy Policy.

8. Purchases and subscriptions

ReadPals may offer paid features, subscriptions, trials, or other purchases. The applicable price, billing period, renewal terms, and trial conditions will be disclosed before purchase.

Purchases made through Apple or another application marketplace are also governed by that marketplace’s payment terms. Subscriptions may renew automatically until cancelled through the marketplace or payment provider used to purchase them.

Refunds are handled according to the applicable marketplace rules and applicable law.

9. ReadPals ownership

ReadPals—including its software, lessons, activities, artwork, characters, sounds, recordings, designs, trademarks, and other content—is owned by Relay HQ LLC or its licensors and is protected by intellectual-property laws.

These Terms permit use of the Service but do not grant permission to use ReadPals branding or content outside the Service.

10. Third-party services

ReadPals may depend on application marketplaces, hosting providers, communication services, speech-processing services, or other providers.

Those providers may have separate terms governing their own services. Relay HQ LLC is not responsible for third-party products or services that it does not control.

11. Service availability and changes

We may add, change, limit, suspend, or discontinue features as ReadPals develops. We do not guarantee that every feature will always be available or operate without interruption or errors.

When reasonably practical, we will try to avoid unnecessary disruption and preserve account information consistent with our Privacy Policy.

12. Suspension and termination

You may stop using ReadPals or delete your account through the available account controls.

We may restrict, suspend, or terminate access when reasonably necessary to:

• Address a violation of these Terms.
• Protect readers, accounts, ReadPals, or others.
• Investigate fraud or security concerns.
• Comply with legal requirements.
• Discontinue the Service.

Information associated with a deleted or terminated account will be handled according to our Privacy Policy.

Sections concerning ownership, feedback, disclaimers, liability, disputes, and other provisions that logically continue after termination will survive.

13. Disclaimer of warranties

To the fullest extent permitted by law, ReadPals is provided “as is” and “as available.”

Relay HQ LLC disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from prior dealings or usage.

We do not warrant that ReadPals will always be available, error-free, or meet every educational need. Nothing in these Terms limits warranties or consumer rights that cannot legally be excluded.

14. Limitation of liability

To the fullest extent permitted by law, Relay HQ LLC and its owners, employees, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from ReadPals.

Our total liability for claims relating to the Service will not exceed the greater of:

• The amount you paid for ReadPals during the 12 months before the event giving rise to the claim; or
• $100.

These limitations do not apply where prohibited by law or to liability that cannot legally be limited.

15. Indemnification

To the extent permitted by law, you agree to indemnify and hold Relay HQ LLC harmless from third-party claims, damages, and reasonable expenses resulting from your unlawful misuse of the Service, violation of these Terms, or infringement of another person’s rights.

We may control the defense of a covered claim, and you agree to provide reasonable cooperation.

16. Changes to these Terms

We may update these Terms to reflect changes to ReadPals, our business, or applicable law. The current version and its effective date will remain available through ReadPals and on our website.

Editorial and clarifying changes may take effect when published. If a change materially affects your rights or obligations, we will provide additional notice or request renewed acceptance when required by law.

Your continued use after an updated version becomes effective constitutes acceptance of that version. If you do not agree, you must stop using ReadPals.

17. Disputes and governing law

Before filing a legal claim, you and Relay HQ LLC agree to attempt to resolve the dispute informally by contacting the other party and allowing 30 days for a response.

These Terms are governed by the laws of the State of New Mexico and applicable United States federal law, without regard to conflict-of-law rules.

Unless applicable law permits otherwise, disputes that cannot be resolved informally must be brought in the state or federal courts serving Bernalillo County, New Mexico. Either party may bring an eligible claim in small-claims court.

18. Apple App Store terms

If you obtained ReadPals through Apple’s App Store:

• These Terms are between you and Relay HQ LLC, not Apple.
• Relay HQ LLC, not Apple, is responsible for ReadPals and its content.
• Apple has no obligation to provide maintenance or support for ReadPals.
• Relay HQ LLC is responsible for addressing claims concerning ReadPals, subject to these Terms.
• Your use must comply with Apple’s applicable App Store rules.
• Apple and its subsidiaries are third-party beneficiaries of this section and may enforce it.

19. General provisions

These Terms and the Privacy Policy constitute the complete agreement between you and Relay HQ LLC concerning ReadPals.

If one provision is unenforceable, the remaining provisions remain effective. Failure to enforce a provision is not a waiver of it.

You may not transfer your account or rights under these Terms without our permission. Relay HQ LLC may transfer these Terms in connection with a merger, financing, reorganization, or sale of the business.

Relay HQ LLC is not responsible for delays or failures caused by circumstances reasonably beyond its control.
